1. Acceptance of Terms

By accessing or using the Calm Leave platform (“Service”), operated by Calm Leave (“we”, “us”, or “our”), you agree to be bound by these Terms of Use. If you do not agree, you may not use the Service. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

Calm Leave is a cloud-based leave management platform that enables organizations to manage employee time-off requests, approval workflows, leave policies, team calendars, and related reporting. The Service is provided on a software-as-a-service (SaaS) basis and is accessible via web browsers.

3. Accounts & Registration

To use the Service, an authorized representative of your organization must create a company account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update it as needed. You must notify us immediately of any unauthorized access to your account.

4. Permitted Use

You may use the Service solely for your organization’s internal leave management purposes. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Resell, sublicense, or redistribute the Service to third parties without our prior written consent.
• Upload or transmit viruses, malware, or other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.

5. Subscription & Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our Pricing page. Fees are billed in advance on a monthly basis and are non-refundable except as required by law. We reserve the right to change pricing with 30 days’ prior notice. If your payment method fails, we may suspend access to paid features after a 7-day grace period.

6. Data Ownership

You retain all rights to the data you submit to the Service (“Your Data”). By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service. We will not sell, share, or use Your Data for advertising purposes. Upon termination of your account, you may request export of Your Data for up to 30 days, after which it may be permanently deleted.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Calm Leave and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. Feedback or suggestions you provide may be used by us without obligation to you.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you in advance of scheduled maintenance. We are not liable for any loss resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Calm Leave and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be error-free.

11. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, disclaimer of warranties, and governing law survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Calm Leave operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
